Clayworks bundle — Purchase Terms

These terms govern purchase-tier access to the Clayworks bundle ("the Software"). If your access is through an active Engagement Agreement (Tier 1 Sprint, Tier 2 Sprint, or Tier 4 Retainer), the terms of your signed Engagement Agreement apply instead; this document does not apply to you.

For purchase-tier customers, these terms together with the LICENSE form the binding agreement between you and Clay Haworth ("the Licensor") regarding your use of the Software.

Pricing

Two purchase tiers are offered:

Both tiers receive the same Software artifact, the same scope of license, and the same update entitlement (see "Update entitlement" below). The difference is purely promotional pricing for early waitlist signups.

Prices are listed in US Dollars and are exclusive of any taxes that may apply in your jurisdiction. You are responsible for any sales, use, or value-added taxes applicable to your purchase.

What you receive

Upon completed purchase, you receive:

License grant

Subject to your compliance with these terms, the Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to install, copy, and use the Software for your own internal use on workstations under your direct control. Internal use includes use by your employees within a single organization that you own or operate, where each user operates under your direction.

Restrictions

You may NOT:

These restrictions apply during the term of your license and survive termination.

Transferability

This license is granted to you personally (or to the organization that made the purchase, if a business purchase) and is not transferable to any other individual or entity without the prior written consent of the Licensor. A license obtained under your purchase cannot be resold or gifted to another party.

If you sell or transfer your business, contact the Licensor to discuss license assignment terms.

Refund window

You may request a full refund of the purchase price within fourteen (14) days of the original purchase date, for any reason. To request a refund, contact clay@clayboicardi.com from the email address associated with the purchase. Refunds are processed within five (5) business days of request approval.

After the fourteen-day window closes, refunds are at the Licensor's discretion. Material defects in the Software (a documented bug that prevents you from using a shipped component as documented) remain grounds for refund consideration outside the window.

Refunded purchases revoke the license. Repository access is removed within five (5) business days of refund processing.

Support entitlement

Purchase-tier access does NOT include direct support from the Licensor. The Software ships with extensive documentation in each component's README, the bundle-wide components/install-troubleshooting/README.md, and the strategic guide at guide/operating-claude-code-at-production-quality.md. These documents cover the failure modes encountered across the bundle's field installations.

If you require direct support, the Engagement Agreement pathway (Tier 1 Sprint, Tier 2 Sprint, Tier 4 Retainer) includes scoped support entitlement. Contact clay@clayboicardi.com to discuss engagement-tier options.

The Licensor will not refuse to address material defects reported in good faith; bug reports are welcome via the contact channel above and may result in fixes shipped in subsequent v1.x updates. This does not constitute a support obligation under these terms.

Update entitlement

Your purchase includes free updates within the v1.x release line via git pull against the repository. The v1.x roadmap is documented in docs/UPDATING.md and the CHANGELOG. Free updates include:

Repository access remains in place for the duration of the v1.x update window. The Licensor commits to maintaining the v1.x update window for no less than twelve (12) months from the date of v1.0 general availability. If circumstances require ending the update window earlier, licensees receive at least sixty (60) days written notice.

Termination

This license terminates automatically if you materially breach any of the restrictions above. Upon termination:

You may terminate this license at any time by deleting all copies of the Software and notifying the Licensor. Voluntary termination does not entitle you to a refund outside the standard refund window.

The restrictions, transferability provisions, and limitations of liability survive termination.

Disclaimers and limitations of liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

The Licensor's total cumulative liability under or in connection with these terms is limited to the amount you actually paid for the license.

Governing law and jurisdiction

These terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising under or in connection with these terms shall be resolved in the state or federal courts located in Orange County, California, and you consent to the exclusive jurisdiction of those courts.

Changes to these terms

The Licensor may update these terms from time to time. Changes take effect for purchases made after the change date; existing purchases remain governed by the terms in effect at the time of purchase.

Material changes are surfaced in the repository CHANGELOG and noted in the release-notes channel.
